Terms & Conditions

This contest, being organised by Mrs. Asha Bhosle (“Mrs. Bhosle”), is set up for contestants to participate and exhibit their singing skills to Mrs. Bhosle and (if shortlisted), get a chance to render performance based on the lyrics and musical compositions owned by Mrs. Bhosle and/or authorised to be used by Mrs. Bhosle and/or in public (“Our Works”) domain and provided by us for the Talent Hunt Show. Any person, irrespective of age, gender, nationality can participate in this singing/performance contest (hereinafter referred to as “Talent Hunt Show”), and if you wish to participate in the Talent Hunt Show, you agree to adhere to and be unconditionally bound by the following terms and conditions:

How to Participate:

1. This Talent Hunt Show will be deemed to commence on August 01, 2020 from 11am and shall end on August 22, 2020 at 11am .

2. Upon commencement of the Talent Hunt Show, you shall be required to record an audio visual recording of you solely singing/performing any sound recording as deemed fit by you (“User Content”), not exceeding a total duration of 2 (two) minutes, 200MB size and upload the same to ashabhosle.com (“Website”). You shall also be required to fill an online form available in the Website prior to uploading the User Content.

Shortlisting Process:

3. Upon your submission of the User Content to us in the manner stated above, we may evaluate the User Content to select such User Content(s) from participants/users that we deem to be shortlisted for winning the Talent Hunt Show (“Shortlisted Users”). The Shortlisted User will be sent an audio file containing the musical composition forming part of Our Works and the Shortlisted User shall be required to record an audio visual recording of them singing/performing the musical composition (“Shortlisted User Content”) and upload the same to the Website. You shall also be required to fill an online form available in the Website prior to uploading the Shortlisted User Content.

4. Simultaneously upon submitting the Shortlisted User Content to us, Shortlisted User shall be required to execute the release letter made available by us to the Shortlisted User Content. The aforementioned release letter shall be made available by us to the Shortlisted User by way of a click wrap agreement and the Shortlisted User shall be required to “accept” the click wrap release letter. Any Shortlisted User Content submitted without the accepted release letter shall not be deemed to be a valid Shortlisted User Content submission for the purposes of the Talent Hunt Show and shall not be considered by us while selecting the winners of the Talent Hunt Show.

Other Conditions:

5. The User Content and Shortlisted User Content should be performed solely by you and shall not contain the performance of any third party. Further, prior to your submission of the User Content, you shall be required to follow the following platforms: (i) Mrs. Bhosle’s official YouTube channel available at https://www.youtube.com/c/AshaBhosleOfficial; (ii) Facebook account available at https://facebook.com/ashabhosleofficialpage; (iii) twitter handle available at https://twitter.com/ashabhosle; and (iv) Instagram handle available at https://www.instagram.com/asha.bhosle/ (collectively “Social Media Accounts”). At any time during the subsistence of the Talent Hunt Show, if you unfollow any Social Media Account(s), we shall have the right to disqualify you from the Talent Hunt Show with immediate effect.

6. Your personal data collected by us through the Website (if any) shall be used by us in accordance with the applicable laws of India and you hereby agree that you have no objections or claims against us for use of your data/attributes like name, photographs, biographic materials etc., on any Modes, Media, Formats for the purposes of the Talent Hunt Show.

7. You understand that we are under no obligation to examine or access your User Content or Shortlisted User Content (as the case may be) or otherwise engage you for any services/performance/role whatsoever.

8. All decisions (including decisions for qualification rounds or final selection) shall be at our sole discretion and are final in all matters relating to the Talent Hunt Show. We reserve the right to disqualify any entrant and/or winner at our absolute discretion, without notice, and you shall not have any objection to such decision. In the event of any dispute regarding these Terms and Conditions and/or the results thereof and all other matters relating to the Talent Hunt Show, our decision shall be final, and no correspondence or discussions shall be entertained by us.

9. You agree that each participant shall only have the right to submit one Shortlisted User Content based on Our Works. Multiple entries would be considered as disqualified.

10. We are not liable and/or accept no responsibility for entries that are delayed, misdirected or incomplete or cannot be delivered or entered for any technical or other reason.

11. You agree to provide true and correct information, which does not give the wrong impression or which impersonates any other person in any manner whatsoever and also undertake to revise and update the information in a timely manner, if required.

12. You agree to provide us with any information or documents as may be requested by us or any other authority without any protest for the purpose of enabling us and/or such authority to verify the accuracy of the information provided by you and conformity of your acceptance of use of the Shortlisted User Content by us.

13. In case you register on behalf of a minor or a child or an individual who is not an eligible person under law, your discretion is solicited while giving the such minor, child or an individual who is not an eligible person permission to participate in the Talent Hunt Show and must ensure that the minor or child or individual other than an eligible person complies with this Terms and Conditions. You shall be deemed to be in breach of these terms in case of any breach of these terms by the minor or child or individual other than an eligible person you register yourself on behalf on and we shall not be held responsible for any such breach in any manner whatsoever. Only the parent or legal guardian of a minor or child or person who is not an eligible person shall interact with us on behalf of such persons. You shall execute the release letter (in the manner as detailed in paragraph 4 above) on behalf of the minor or child or person who is not an eligible person.

Gratification:

14. The winner(s), if any, shall be selected by Mrs. Bhosle in her sole discretion from the Shortlisted Users shall be announced on MY Social Media Accounts on 22 August 2020 or a date decided by Ashaji (or such other date as shall be deemed fit by us). The winner(s) of the Talent Hunt Show (if any) shall receive a certificate of excellence from Mrs. Bhosle in such format and form as shall be decided solely by us. We shall not be required to make any monetary payments to you as gratification and/or for the ownership and/or exploitation of the Shortlisted User Content or incur any costs on behalf of you for creation of the User Content and/or Shortlisted User Content.

Ownership and/or exploitation of Shortlisted User Content:

15. By submitting the Shortlisted User Content to us and in consideration of you having the opportunity to participate in the Talent Hunt Show, you expressly agree and understand that all the intellectual property rights in the Shortlisted User Content shall be solely, absolutely, irrevocably and unconditionally owned and/or exploited by Mrs. Bhosle throughout the world in perpetuity on all modes, media, formats and platforms now know or commercially used or devised in the future (“Modes, Media, Formats”). The Shortlisted User shall be required to execute any and all documents in such manner and at such location as required by us in our interest to protect, perfect, confirm or enforce the existence of the preceding and to effectuate its purpose to convey all rights in the Shortlisted User Content to Mrs. Bhosle and/or Mrs. Bhosle’s assignees, including without limitation any exploitation on Modes, Media, Formats developed in the future.

16. You acknowledge that we shall not be liable to make any monetary payments to you in relation to the Shortlisted User Content. You shall have no objection towards us displaying or not displaying the Shortlisted User Content on any Modes, Media, Formats. Neither we, nor Mrs. Bhosle will require any further consent or approval from you for use of the Shortlisted User Content on Mrs. Bhosle’s Social Media Accounts and/or any Modes, Media, Formats. Any proceeds or revenue earned by exploitation of the Shortlisted User Content shall solely vest with us or Mrs. Bhosle (as the case may be) and you shall not have any claim against us for any such revenue/payments.

17. You agree and understand that since the Shortlisted User Content is based on Our Works, you shall at no time have the right to exploit the Shortlisted User Content in any manner or on any Modes, Media, Formats. You shall however have the limited right to repost/share the Shortlisted User Content that we may upload on any platform, which shall be subject to the terms and conditions of each platform.

18. We shall have no confidentiality obligations in relation to the User Content or Shortlisted User Content (as applicable) at any time whatsoever. You acknowledge that once the Shortlisted User Content is uploaded or posted on any Modes, Media, Format, including any Social Media Account, it will be in public domain. You must, at all times, refrain from disclosing or posting any personal information such as your contact details, financial information, credit or debit card details, email addresses in your Shortlisted User Content. We shall not be responsible for any misuse of such personal information. You agree and acknowledge that we may retain and disclose your information if we are required to do so by law or if we believe in good faith that such access, preservation or disclosure is reasonably necessary for any reason that we deem fit.

19. You shall not without our specific prior written consent publish or disclose any information in connection with the Talent Hunt Show. You shall not be entitled to give interviews or be involved in articles or reports in respect of the Talent Hunt Show with any third party.

20. You agree and undertake that User Content and/or the Shortlisted User Content (as applicable) shall not violate or be detrimental to the rights and interests of any other persons and shall not be unauthorised or illegal actions in any manner whatsoever.

Your representations, warranties and other covenants

21. You represent and warrant that you shall not host, display, upload, modify, publish, transmit, update or share any information/ content/ User Content/ Shortlisted User Content which:
    1. Belongs to another person and which you do not have any right to use;
    2. Is grossly harmful, harassing, blasphemous defamatory, hurts religious sentiment, obscene, pornographic, paedophilic, libellous, invasive of another's privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatever;
    3. Harm minors in any way;
    4. Infringes any patent, trademark, copyright or other proprietary rights of any person;
    5. Violates any law for the time being in force;
    6. Deceives or misleads the addressee about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;
    7. Impersonate another person;
    8. Contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource;
    9. Threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order or causes incitement to the commission of any cognisable offence or prevents investigation of any offence or is insulting any other nation.

22. You agree that you shall not act in any manner which will be prejudicial to or detrimental to the Our interests, the Talent Hunt Show or any other contestant/winner(s) of the Talent Hunt Show or any other person or generally the public at large by engaging in illegal, inappropriate, unauthorised activities of any manner whatsoever including activities, tactics which may be insulting, offensive, defamatory, slanderous, libellous, vilifying, cause a threat to life or property or intruding the privacy of any other person. Any such prejudicial, detrimental or unauthorised activity shall give us the right to immediately terminate your place in the Talent Hunt Show, without having any impact on our ownership in the Shortlisted User Content.

23. You acknowledge and agree that we shall not be responsible for any inherent risks of using your performance on the worldwide web or internet generally including phishing, hacking, corruption of data, piracy and the like. You agree that by allowing us to commercially or non-commercially exploit the Shortlisted User Content in such manner as we deem fit, you assume all associated risks of uploading content on the internet.

24. You shall be solely responsible for all Shortlisted User Content that is made available to us by You and You shall be liable for any injury, damage and consequences that may arise due to posting such Shortlisted User Content. You are hereby advised to make all inquiries that may be deemed necessary prior to availing any services on YouTube or by submitting the Shortlisted User Content to us for exploitation by us in any manner as we deem fit. We will not be liable to you or any other person in any way for any costs or consequences due to the Shortlisted User Content that is exploited by us.

25. You hereby acknowledge that YouTube, Facebook, Instagram etc. are not sponsor(s) of the Talent Hunt Show and you shall not have any claims against YouTube, Facebook, Instagram etc. in relation to the Talent Hunt Show .

Governing Law and Jurisdiction

26. You agree that the Talent Hunt Show and Terms and Conditions will be governed by the laws of India and will subject to the exclusive jurisdiction of the competent courts of Mumbai. No associations, unions or guilds shall have any jurisdiction in relation to the same.
